Responsibilities:

  • Provide accurate and timely counsel to business partners on a wide variety of legal topics.

  • Provide research and evaluate different risk factors regarding business decisions and business operations.

  • Communicate and negotiate with external parties (outside counsel, public authority, business clients, etc.), creating relationships of trust.

  • Draft, negotiate and finalize agreements, contracts, and other legal documents to ensure the organization’s interests are protected.

  • Deal with complex legal matters with multiple stakeholders.

  • Provide clarification on legal language or specifications to various stakeholders within the organization.

Qualifications:

  • Juris Doctorate Degree from an ABA-accredited law school, excellent academic achievement and a Member of the California State Bar and currently in good standingrequired

  • 0-2 Years of experience in practicing attorney with a basic understanding of corporate law, governance, employment and litigation

  • Ability to Ensure High Levels of Service & Quality are Maintained

  • Excellent Written & Verbal Communication Skills

  • Strong Prioritizing Skills; Ability to Work Independently & Prioritize with minimal supervision, in order to Meet Deadlines

  • Ability to Work Effectively with Management

Responsibilities

Job Duty

  • Provide accurate and timely counsel to business partners on a wide variety of legal topics.

  • Provide research and evaluate different risk factors regarding business decisions and business operations.

  • Communicate and negotiate with external parties (outside counsel, public authority, business clients, etc.), creating relationships of trust.

  • Draft, negotiate and finalize agreements, contracts and other legal documents to ensure the organizations interests are protected.

  • Deal with complex legal matters with multiple stakeholders.

  • Provide clarification on legal language or specifications to various stakeholders within the organization.

  • Strategically manages outside counsel in their representation of the organization.

  • Assist department attorneys in support the following areas of legal practice:

  • Mergers & Acquisitions, Joint Ventures and Divestitures

  • Earn-Out and Indemnity Matters

  • Equity Administration

  • Financing Transactions

  • Lender Covenant Compliance Matters

  • Commercial Agreements

  • Employment Litigation Matters/Claims

  • Business Litigation Matters / Claims

  • Client/Customer/Vendor Agreements

  • Marketing/Sales Projects

  • Regulatory Compliance

  • International Legal Matters

Supervisory Responsibilities

Direct Reports

  • This position does not have supervisory responsibilities for direct reports

Indirect Reports

  • May delegate work of others and provide guidance, direction and mentoring to indirect reports

Travel and/or Driving Requirements

  • Travel is an essential duty and function of this job. Driving is not an essential duty or function of this job.

  • Travel up to 25%

Minimum Qualifications

The following are the minimum job-related qualifications which an individual needs in order to successfully perform the essential duties and responsibilities of the job

Incumbent must be able to perform the essential functions of the job. Work is performed primarily in an office environment. Typically requires the ability to sit for extended periods of time (66%+ each day), ability to hear the telephone, ability to enter data on a computer and may also require the ability to lift up to 10 pounds.
